Welcome to LearnShrewd. Please read these Terms & Conditions carefully before using our website, courses, digital learning materials, AI-powered features, subscriptions, trials, or any related services.

These Terms form an agreement between you and LearnShrewd. By accessing or using LearnShrewd, starting a trial, creating an account, or completing a purchase, you confirm that you have read, understood, and agreed to these Terms.

If you purchase a subscription that renews automatically, you agree to the renewal terms shown near the point of purchase. To avoid renewal charges, you must cancel before the end of your trial or then-current billing period, as explained in our Subscription Terms.

2. Agreement Overview

These Terms apply to LearnShrewd and are supplemented by our Privacy Policy, Subscription Terms, and Refund Policy, which are incorporated by reference and form part of this agreement.

If any translated version of these Terms is made available, it is provided for convenience only. The English version controls unless applicable law requires otherwise.

3. Eligibility

To use LearnShrewd, you must be at least 16 years old and have the legal capacity to enter into an agreement. If you are under 18, you should use LearnShrewd only with permission from a parent or legal guardian.

If you do not agree with these Terms or are not eligible to use LearnShrewd, you must not access or use the service.

4. Your Account

Some features require you to create an account. You are responsible for the information you provide, for keeping your login credentials confidential, and for all activity that occurs under your account.

You agree to notify us promptly at support@learnshrewd.com if you suspect any unauthorized access to or use of your account. To the extent permitted by law, we are not liable for losses arising from unauthorized use of your account where you failed to keep your credentials secure.

You must provide accurate, current, and complete information and keep it up to date. We may refuse, suspend, or remove accounts that contain false, outdated, misleading, or duplicate information.

5. What We Offer

LearnShrewd provides practical AI learning materials, including lessons, articles, workflows, examples, exercises, quizzes, tool guides, certificates, and other educational content. We may also offer AI-powered learning features, such as chat, feedback, or personalized recommendations.

Access to certain content or features may require account registration, a trial, a subscription, a one-time purchase, or an additional paid feature. Any specific price, billing period, trial duration, renewal period, or access limitation will be shown near the point of purchase.

6. Certificates

LearnShrewd may issue certificates of completion for certain courses or learning paths. A certificate recognizes that you completed the relevant material within LearnShrewd.

Certificates of completion are not accredited qualifications, academic degrees, professional licenses, or industry certifications, and may not be recognized by any employer, institution, or regulatory body. They do not certify competence and do not guarantee any learning, career, employment, or income outcome.

7. AI-Powered Features

LearnShrewd may include AI-powered features for educational purposes only. These features may generate explanations, examples, summaries, study guidance, or other responses based on prompts or information you provide.

AI output may be incomplete, inaccurate, or similar to output generated for other users. You are responsible for reviewing AI output before relying on it. LearnShrewd does not provide professional, legal, financial, medical, employment, or other regulated advice.

You own the content you submit, subject to rights you grant us to operate, provide, protect, and improve the service. To the extent permitted by law, we assign to you our rights in AI output generated specifically for you, while reserving rights needed to operate and improve LearnShrewd.

8. Subscription Plans

LearnShrewd may offer introductory trials, auto-renewing subscriptions, and additional paid features. A trial may convert into a paid subscription unless you cancel before the trial ends, as disclosed at checkout.

Subscription plans renew automatically at the end of each billing period unless canceled before renewal. Some offers may renew at the full, non-discounted price. Please read the offer details carefully before purchasing.

We may change prices or available content from time to time. If required by law, we will provide notice before a price change applies to you. If you do not agree with a new price, you should cancel before it takes effect.

9. Billing and Cancellation

Payments may be processed by third-party payment providers. By purchasing, you authorize LearnShrewd and our payment providers to charge your selected payment method for applicable fees, taxes, renewals, and other amounts disclosed at checkout.

If your payment method fails, we may retry the charge, use another stored payment method where permitted, suspend access, or terminate your subscription. You remain responsible for unpaid amounts.

You must cancel through the cancellation method made available for your purchase channel. Deleting an app, closing a browser, stopping use, or failing to log in does not automatically cancel a subscription.

10. Data Protection

We collect, store, and process personal data as described in our Privacy Policy. By using LearnShrewd, you agree that we may process your data for the purposes described in that policy.

11. Use of Information and Intellectual Property

All information, text, images, graphics, logos, course materials, software, design elements, compilations, workflows, examples, and other content available through LearnShrewd are owned by LearnShrewd or our licensors unless otherwise stated.

We grant you a limited, non-exclusive, non-transferable license to use LearnShrewd for personal, non-commercial learning purposes. You may not copy, redistribute, sell, sublicense, scrape, reproduce, modify, or create competing products from our content without written permission.

Content you submit remains yours. You grant us the rights necessary to host, process, display, analyze, support, and improve the service as described in these Terms and our Privacy Policy.

12. Feedback

If you send us feedback, suggestions, ideas, or recommendations about LearnShrewd, you agree that we may use them without restriction and without any obligation to you. You grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate your feedback into our products and services for any purpose.

13. Copyright Complaints

Please include a description of the work you claim is infringed, where the material is located on LearnShrewd, your contact details, and a statement that you have a good-faith belief that the use is not authorized. We may remove or disable access to content that we believe in good faith infringes the rights of others, and we may terminate the accounts of repeat infringers.

14. Third-Party Services and Ads

LearnShrewd may include links, integrations, or references to third-party websites, tools, advertisements, products, or services. We are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and may be governed by their own terms.

15. User Representations and Restrictions

By using LearnShrewd, you represent that you have legal capacity, are not under 16, will comply with applicable laws, and will not use LearnShrewd for illegal, unauthorized, abusive, harmful, or fraudulent purposes.

• Do not scrape, copy, compile, or systematically retrieve content without permission.
• Do not reverse engineer, decompile, bypass, or interfere with the service or its security features.
• Do not use LearnShrewd to build or train a competing product without written permission.
• Do not upload harmful, infringing, unlawful, misleading, or abusive content.
• Do not use automated tools, bots, or scripts to access the service except where expressly allowed.
• Do not use LearnShrewd in a way that violates applicable law or these Terms.

16. Disclaimers of Warranties and Liabilities

LearnShrewd is an education platform. Our content is for informational and educational purposes only and is not a substitute for professional advice. You are responsible for how you use the information, tools, workflows, examples, or AI output provided through the service.

We do not guarantee that LearnShrewd will meet your expectations, produce any specific learning, career, income, business, productivity, or certification result, or be uninterrupted, error-free, secure, or available at all times.

To the fullest extent permitted by law, LearnShrewd is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory.

17. Limitation of Liability

To the fullest extent permitted by law, LearnShrewd and its affiliates, officers, employees, contractors, partners, and licensors will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, lost savings, or lost opportunities.

To the fullest extent permitted by law, our total liability for all claims related to LearnShrewd will be limited to the amount you paid to LearnShrewd for the service giving rise to the claim during the three months before the event giving rise to liability.

Some jurisdictions do not allow certain limitations or exclusions of liability, so some of the above may not apply to you.

18. Indemnification

You agree to indemnify, defend, and hold harmless LearnShrewd and its affiliates, officers, employees, contractors, partners, and licensors from claims, losses, liabilities, damages, costs, and expenses arising from your use of LearnShrewd, your content, your violation of these Terms, or your violation of another person’s rights.

19. Suspension and Termination

We may suspend, restrict, or terminate your access to LearnShrewd, in whole or in part, at any time and at our discretion, including if we believe you have violated these Terms, created risk or legal exposure for us, or used the service in a fraudulent, abusive, or unlawful way. Where reasonable and permitted by law, we will try to provide notice.

You may stop using LearnShrewd at any time and, where applicable, cancel your subscription as described in our Subscription Terms.

On termination, your right to access the service ends. Termination does not entitle you to a refund except where required by law or expressly provided in our Refund Policy. Provisions that by their nature should survive termination will remain in effect, including intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and these general provisions.

20. Dispute Resolution

If a dispute arises, you agree to first contact us at support@learnshrewd.com and attempt to resolve the issue informally. Include your name, account email, a description of the issue, and the outcome you are seeking.

Where permitted by law, disputes may be resolved individually and not as part of a class, collective, consolidated, or representative action. Nothing in these Terms prevents you from exercising non-waivable consumer rights available under applicable law.

21. General Terms

Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire agreement. These Terms, together with our Privacy Policy, Subscription Terms, Refund Policy, and any terms shown at the point of purchase, form the entire agreement between you and LearnShrewd and replace any prior agreements or understandings on the same subject.

No waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver must be in writing to be effective.

Assignment. We may assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of assets. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Force majeure. We are not responsible for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, government actions, power or internet failures, or failures of third-party providers.

22. Changes

We may update these Terms from time to time to reflect changes in law, features, subscriptions, business operations, or user needs. Material changes will be communicated where required. Continued use of LearnShrewd after changes become effective means you accept the updated Terms.
